Terms of Service

These Terms of Service ("Terms") govern your access to and use of Matrix MDM ("the Service"), provided by
ITcians LLC ("we", "us", "our"). By registering for or using the Service, you agree to these Terms on behalf of your organisation.
1. The Service
Matrix MDM is an on-premise Mobile Device Management solution. It consists of (a) a central licensing service we operate ("Central") and (b) a desktop panel you install and run on your own server ("the Panel"). The Panel manages Android devices using Google's Android Management API. Your device data stays on your server.
2. Accounts & eligibility
You must provide accurate registration information and are responsible for the security of your account credentials and your server. Accounts are for business use by organisations and their authorised administrators.
3. Subscriptions, trials & billing
- The Service is offered on a monthly subscription per plan, with a device allowance included in each plan and a per-device rate for devices beyond that allowance.
- A free trial may be offered. At the end of the trial, a subscription payment is required to continue.
- Payments are made manually by bank transfer. Your subscription is activated or renewed once we confirm receipt of payment.
- If payment is not received by the end of a billing period, your subscription may lapse and new device enrollments may be paused until payment is confirmed. Devices already enrolled continue to run.
4. Licence to the software
We grant your organisation a limited, non-exclusive, non-transferable, revocable licence to install and use the Panel for your internal business purposes while your subscription is active. A licence key may be activated on a limited number of machines (typically 1–3). You must not:
- copy, resell, sublicense or distribute the software except as permitted;
- reverse engineer, decompile or attempt to derive source code, except to the extent this restriction is prohibited by law;
- circumvent, disable or tamper with the licensing, activation or device-limit mechanisms; or
- remove or alter any proprietary notices.
5. Your responsibilities & acceptable use
- You are responsible for using the Service lawfully and for the devices you manage.
- You must have the right to manage each enrolled device and must obtain any consents required from device owners or employees, including where local law requires notice or consent for monitoring, location or similar features.
- You must comply with all applicable laws, including privacy, employment and data-protection laws in your jurisdiction.
- You must comply with Google's applicable terms for the Android Management API.
- You are responsible for securing, backing up and maintaining the server on which you host the Panel and the data it holds.
6. Intellectual property
The Service, including all software, trademarks, and content we provide, is owned by us or our licensors and is protected by law. These Terms do not transfer any ownership rights to you.
7. Availability, updates & support
We may provide updates to the Panel, which may install automatically. We aim to keep Central available but do not guarantee uninterrupted operation. Support is provided according to your plan.
8. Suspension & termination
We may suspend or terminate access for non-payment, breach of these Terms, or where required by law. You may stop using the Service at any time. On termination, your licence ends and you must cease using the software; provisions that by their nature should survive will survive.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special or consequential damages, or loss of data, profits or business, arising from your use of the Service. Our total liability for any claim will not exceed the amounts you paid to us for the Service in the twelve months before the claim.
11. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your management of devices, or your breach of these Terms or applicable law.
12. Governing law
These Terms are governed by the laws of the Islamic Republic of Pakistan, and the courts of Pakistan will have jurisdiction, unless otherwise required by mandatory law in your jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
